 THE RESULT: Caymus Partners was the exclusive financial advisor to the board of directors of LICT Corporation (OTC: LICT) ("LICT" or the "Company") relating to the Company's recent distribution of certain of its subsidiary companies and other assets to its shareholders (the "Spin-off"). Under the Spin-off, LICT shareholders received one share of a new company, CIBL, Inc., for each share of the Company. Caymus Partners presented a detailed financial analysis outlining the benefits of the proposed Spin-off to LICT's board of directors.
Company Description
LGL Group, formerly Lynch Corporation, was incorporated in 1928 in Indiana and evolved to become a multi-industry holding company. The Company's MtronPTI subsidiary is a designer, manufacturer and marketer of custom designed electronic components that are used primarily to control the frequency or timing of signals in electronic circuits. LGL's divested Lynch Systems subsidiary designed, developed, manufactured and marketed a broad range of manufacturing equipment for the consumer glass industry.
Client Objective
LICT Corporation's board of directors sought financial advice and an independent opinion as to its proposed spin-off of certain assets into a new company, CIBL, Inc.
Caymus Partners Process
As part of the financial advisory and independent opinion process, Caymus Partners undertook the following:
- Review of Transaction. Caymus Partners performed a comprehensive financial review of the assets to be spun-off in the transaction and its affect on the Company;
- Presentation of Analyses. Caymus Partners prepared and delivered a detailed presentation to the Company's board of directors with an overview of the transaction and potential financial and non-financial benefits of conducting the transaction; and
- Discussions with Board and Management. Caymus Partners presented and discussed the analysis with the Company's board of directors and senior management team and provided additional analyses on an as-needed basis.
