(“Southern Assisted Living” or the “Company”) with respect to the sale/leaseback of its real estate to Health Care REIT, Inc. (NYSE: HCN), a publicly held healthcare REIT. The valuation provided validation of the consideration paid to the Company based on North Carolina state guidelines. As part of the sale/leaseback transaction, existing investors were cashed out and management acquired a controlling equity interest in the operating company.
